1. Acceptance of Terms

By accessing or using https://www.yinansafety.com/ (the "Site"), submitting an enquiry, placing an order, or entering into any business relationship with Jiangsu Yinan Safety Protection Technology Co., Ltd. ("YINAN", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or engage with our services.

These Terms apply to all visitors, customers, distributors, resellers, and other users of the Site.

2. Business-to-Business Nature of Our Services

YINAN operates exclusively as a business-to-business (B2B) manufacturer and supplier. Our products — including ballistic raw materials, soft and hard body armor, stab-proof equipment, riot control gear, and manufacturing equipment — are intended solely for:

• Licensed security, law enforcement, military, and government agencies
• Registered commercial distributors and resellers of protective equipment
• Qualified OEM manufacturers incorporating our materials into finished products
• Institutional procurement officers acting on behalf of authorised organisations

By placing an order or submitting an enquiry, you confirm that you are acting in a professional or commercial capacity and not as a private individual consumer.

3. Eligibility and Compliance

3.1 Legal Eligibility

You represent and warrant that:

• You are at least 18 years of age
• You have the legal authority to enter into a binding agreement on behalf of your organisation
• Your purchase, import, possession or use of our products is permitted under all applicable laws and regulations in your jurisdiction

3.2 Export Control and Regulatory Compliance

YINAN's products may be subject to export control laws and regulations, including but not limited to those of the People's Republic of China and the regulations of the destination country. By placing an order, you agree that:

You will not export, re-export, or transfer our products to any country, entity, or individual in violation of applicable export control laws

You are solely responsible for obtaining any import licences, end-user certificates, permits, or other authorisations required by your country or jurisdiction

You will not use YINAN products for any purpose prohibited by applicable international law, including the development of weapons of mass destruction

YINAN reserves the right to refuse any order where we have reasonable grounds to believe it may violate export control or other applicable regulations.

3.3 End-User Declaration

For government, military or law enforcement orders, we may request an end-user declaration or certificate prior to accepting the order. Providing false or misleading information in connection with an order is grounds for immediate cancellation and may be reported to relevant authorities.

4. Products and Product Information

4.1 Product Descriptions

We make reasonable efforts to ensure that product descriptions, specifications, images, and performance data on the Site are accurate and up to date. However, we do not warrant that product descriptions or other content on the Site are entirely error-free. If a product you receive does not correspond materially to its description, please contact us as outlined in our Refund & Return Policy.

4.2 Certifications and Standards

Where products are described as meeting specific standards (such as NIJ 0101.06, HOSDB KR1/KR2, or ISO 9001:2015), this reflects testing and certification obtained at the time of listing. Certification status may change over time. Buyers are responsible for confirming that the specific product and lot they receive meets the requirements of their procurement specification. Test reports are available on request.

4.3 Custom and OEM Products

Products manufactured to custom specifications — including non-standard NIJ levels, custom dimensions, private label branding or bespoke configurations — are produced solely to the buyer's confirmed specification. YINAN accepts no liability for suitability, performance or regulatory compliance of custom products where the specification was defined by the buyer.

5. Orders, Quotations and Contracts

5.1 Quotations

Quotations issued by YINAN are valid for 30 days from the date of issue unless otherwise stated. Prices in quotations are subject to change if raw material costs, exchange rates or freight conditions change materially before order confirmation.

5.2 Order Confirmation

A binding contract between YINAN and the buyer is formed when YINAN issues a written order confirmation (proforma invoice or sales order acknowledgement) and the buyer confirms acceptance. Verbal or informal communications do not constitute a binding order.

5.3 Order Cancellation

Orders for standard stock items may be cancelled without penalty prior to dispatch. Orders for custom or OEM products may not be cancelled once production has commenced. If cancellation of a custom order is requested after production has begun, YINAN reserves the right to charge for materials consumed and production work completed up to the point of cancellation.

6. Pricing and Payment

6.1 Prices

All prices are quoted in USD unless otherwise specified. Prices are exclusive of applicable taxes, customs duties, import fees, and freight costs unless explicitly stated otherwise in the quotation.

6.2 Payment Terms

Standard payment terms are 30% deposit upon order confirmation, 70% balance prior to shipment, unless otherwise agreed in writing. YINAN reserves the right to require full payment in advance for first-time customers or orders below minimum threshold values.

6.3 Late Payment

YINAN reserves the right to charge interest on overdue amounts and to suspend or cancel outstanding orders where payment obligations are not met.

7. Shipping, Delivery and Risk

7.1 Shipping Terms

Unless otherwise agreed, goods are shipped on FOB (Jiangsu port) or EXW (Jiangsu factory) terms. Risk of loss or damage passes to the buyer upon handover to the carrier or freight forwarder.

7.2 Delivery Estimates

Delivery timelines provided are estimates only and are not guaranteed. YINAN is not liable for delays caused by shipping carriers, customs clearance, port congestion, force majeure events, or circumstances beyond our reasonable control.

7.3 Inspection on Arrival

The buyer is responsible for inspecting goods promptly upon arrival and notifying YINAN in writing of any damage, shortage or discrepancy within 7 days of delivery. Claims submitted after this period may not be accepted.

8. Intellectual Property

All content on the Site — including text, product descriptions, images, technical drawings, logos, branding, and data — is the property of Jiangsu Yinan Safety Protection Technology Co., Ltd. or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, copy, distribute, publish, or commercially exploit any content from the Site without YINAN's prior written consent. Downloading or printing content for personal reference in connection with a legitimate business enquiry is permitted.

9. Prohibited Uses

You agree not to use the Site or our services to:

10. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

YINAN does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that product information on the Site is complete, current or suitable for any specific procurement requirement without independent verification.

11. Limitation of Liability

To the fullest extent permitted by applicable law, YINAN's total liability to you for any claims arising from or related to these Terms, the Site, or any product purchased from us shall not exceed the total amount paid by you for the specific order giving rise to the claim.

In no event shall YINAN be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.

14. Force Majeure

YINAN shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, war, civil unrest, pandemic, government action, port or transport disruption, raw material shortages, or power failures. In such circumstances, we will notify you as soon as practicable and work in good faith to minimise the impact on your order.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising from or relating to these Terms or any transaction with YINAN shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with proceedings conducted in Mandarin Chinese and the seat of arbitration in Jiangsu, China.

For customers in jurisdictions where mandatory consumer protection laws apply, nothing in these Terms limits your statutory rights under those laws.

16. Changes to These Terms

YINAN reserves the right to update or modify these Terms at any time. Material changes will be notified by updating the "Last updated" date at the top of this page. Continued use of the Site or placement of orders after such changes constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.

17. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and Refund & Return Policy, constitute the entire agreement between you and YINAN with respect to the Site and supersede all prior or contemporaneous communications, proposals and agreements, whether oral or written.
